1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StitchFlow ("we," "our," or "the Platform"). By registering for an account, accessing, or using any part of StitchFlow, you confirm that you:
- Are at least 18 years of age;
- Have the legal capacity to enter into a binding agreement under the laws of Pakistan;
- Agree to be bound by these Terms and our Privacy Policy.
If you do not agree to these Terms, you must not use the Platform. These Terms are governed by the Contract Act, 1872 of Pakistan.
2. Description of Service
StitchFlow is a Software-as-a-Service (SaaS) platform designed for tailor shops and garment businesses operating in Pakistan. The Platform provides:
- Order management (creation, tracking, status updates, delivery scheduling);
- Customer management and records;
- Measurement templates and customer measurement storage;
- Worker and staff management;
- Expense tracking and financial summaries;
- Payment recording and khaata (credit) ledger management;
- Business reports and analytics;
- Design template management.
We reserve the right to modify, suspend, or discontinue any feature of the Platform at any time, with or without notice.
3. Account Registration & Security
- You must provide accurate, current, and complete information during registration and keep it updated at all times.
- You are responsible for maintaining the confidentiality of your account credentials (email and password). You must not share your credentials with any third party.
- You are fully responsible for all activities that occur under your account.
- If you suspect unauthorised access to your account, you must notify us immediately.
- Each business (shop) may operate one account. Creating multiple accounts for the same business without prior written approval is prohibited.
4. Acceptable Use Policy
You agree to use StitchFlow only for lawful purposes. You must not:
- Use the Platform to engage in any activity that violates the laws of Pakistan, including PECA 2016;
- Upload, store, or transmit any unlawful, harassing, defamatory, obscene, or fraudulent content;
- Attempt to gain unauthorised access to any part of the Platform or other users' data;
- Use any automated tools (bots, scrapers, crawlers) to extract data from the Platform;
- Reverse-engineer, decompile, or disassemble any part of the Platform;
- Resell, sublicense, or commercially exploit the Platform without our written consent;
- Store another business's customer data in your account without their consent;
- Engage in any activity that disrupts or interferes with the Platform's infrastructure.
Violation of this Acceptable Use Policy may result in immediate termination of your account and legal action under applicable Pakistani law.
5. Data Ownership & Responsibility
You own your data. All customer records, orders, measurements, and business data you enter into StitchFlow remain your property at all times.
You are solely responsible for:
- The accuracy and legality of the data you enter into the Platform;
- Obtaining any necessary consents from your customers before storing their personal information;
- Complying with Pakistani data protection obligations in respect of your customers' data.
By entering customer data into StitchFlow, you represent that you have lawful authority to store and process that data on behalf of your business.
6. Intellectual Property
All intellectual property rights in and to the StitchFlow platform — including its software, design, interface, branding, logos, and documentation — are owned exclusively by StitchFlow and are protected under Pakistani intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for your internal business operations. This licence does not constitute a sale of any rights in the Platform.
7. Payments & Billing
Where applicable:
- All fees are quoted in Pakistani Rupees (PKR) unless otherwise stated.
- Payments are processed through authorised payment gateways compliant with State Bank of Pakistan (SBP) regulations.
- All applicable taxes, including Federal Excise Duty (FED) or Sales Tax on Services as required by Pakistani law, are the responsibility of the User.
- Subscription fees (if any) are non-refundable except where required by law.
8. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that the Platform will be uninterrupted, error-free, or completely secure. We are not responsible for any business decisions, financial outcomes, or losses that you make based on data or reports generated by the Platform.
9. Limitation of Liability
To the maximum extent permitted under Pakistani law, StitchFlow and its team members shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages;
- Loss of profits, revenue, business opportunities, or data;
- Damages arising from unauthorised access to or alteration of your data;
- Any interruption, suspension, or termination of the Platform.
Our total aggregate liability to you for any claim shall not exceed the total amount paid by you to StitchFlow in the three (3) months preceding the event giving rise to the claim.
10. Indemnification
You agree to indemnify, defend, and hold harmless StitchFlow, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third party or customer rights; or (d) your violation of any applicable Pakistani law or regulation.
11. Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, if:
- You violate these Terms;
- Your account is used for fraudulent or illegal activities;
- Required by law or regulatory authority.
Upon termination, your right to access the Platform ceases immediately. You may request a data export within 14 days of termination notice before your data is permanently deleted.
12. Modifications to Terms
We reserve the right to update these Terms at any time. Significant changes will be communicated via email or in-app notification at least 14 days before taking effect. Continued use of the Platform after the effective date of revised Terms constitutes your acceptance of those changes.
13. Governing Law & Dispute Resolution
These Terms shall be exclusively governed by and construed in accordance with the laws of the Islamic Republic of Pakistan, including the Contract Act 1872, the Electronic Transactions Ordinance 2002, and PECA 2016, without regard to its conflict of law provisions.
In the event of any dispute or claim arising out of these Terms or your use of the Platform, the parties agree to first attempt to resolve the matter amicably through good-faith negotiations within 30 days of written notice.
If the dispute is not resolved amicably, it shall be submitted to the exclusive jurisdiction of the competent courts of Pakistan.
